These Terms and Conditions govern access to and use of www.VFamilyFoundation.com, including charitable donation links, event information, ticketing links, Foundation content, communications, and related services.
V Family Foundation is a Massachusetts nonprofit charitable organization recognized as tax exempt under Section 501(c)(3) of the Internal Revenue Code.
By accessing or using www.VFamilyFoundation.com, making a donation through a link provided on the website, obtaining or purchasing event tickets, attending a Foundation event, or otherwise interacting with the Foundation, you agree to these Terms and Conditions to the extent permitted by applicable law.
If you do not agree with these Terms and Conditions, do not use the website.
1. PURPOSE OF THE WEBSITE
www.VFamilyFoundation.com is intended to provide information concerning V Family Foundation, its mission, charitable activities, fundraising efforts, events, and related activities.
The website may also provide links through which users can:

Access third party services associated with Foundation activities.

2. FOUNDATION MISSION AND CHARITABLE PURPOSE
V Family Foundation operates for charitable purposes consistent with its governing documents and Section 501(c)(3) of the Internal Revenue Code.
The Foundation's mission includes supporting local families affected by rare diseases and special needs and carrying out related charitable programs, activities, fundraising, community outreach, and assistance consistent with the Foundation's charitable purposes.
Nothing on this website creates a contractual entitlement to:

Financial assistance.

Grants.
-
Services.
-
Benefits.
-
Participation in Foundation programs.

Selection as a Foundation beneficiary.

Any particular allocation of Foundation resources.
Decisions regarding charitable expenditures, beneficiaries, grants, programs, and use of Foundation resources remain subject to applicable law, donor restrictions properly accepted by the Foundation, and the discretion and fiduciary responsibilities of the Foundation's governing body.
3. MASSACHUSETTS CHARITABLE ORGANIZATION COMPLIANCE
V Family Foundation operates from Massachusetts and is subject to applicable charitable organization requirements.
The Massachusetts Attorney General's Non Profit Organizations/Public Charities Division oversees charitable organizations operating or soliciting charitable funds within Massachusetts. Massachusetts generally requires qualifying charities to register and make annual filings, and organizations soliciting charitable funds generally must obtain a Certificate for Solicitation unless an exemption applies.
Nothing on this website should be interpreted as an endorsement, approval, certification, or recommendation of the Foundation by the Commonwealth of Massachusetts, the Massachusetts Attorney General, the Internal Revenue Service, or any other governmental agency.
4. CHARITABLE DONATIONS
Donations made to V Family Foundation are voluntary.
The Foundation currently provides access to PayPal for the processing of charitable donations.
When a donor selects a PayPal donation link, the donor may leave www.VFamilyFoundation.com and transact directly through PayPal.
PayPal operates independently from V Family Foundation and maintains its own terms, privacy practices, payment procedures, dispute procedures, and security systems.
The Foundation does not independently process complete payment card information through www.VFamilyFoundation.com.
5. USE OF DONATIONS
Unless the Foundation expressly accepts a donation subject to a legally enforceable written restriction, donations may be used in furtherance of the Foundation's charitable mission as determined by the Foundation in accordance with applicable law.
A donor's statement, notation, preference, request, designation, or communication concerning the desired use of a donation does not automatically create a legally restricted gift.
A restriction becomes binding only to the extent recognized and accepted by the Foundation in accordance with applicable law.
The Foundation reserves discretion to decline a donation or proposed restriction where legally permissible.
6. DONATION TAX TREATMENT
The Foundation is recognized as tax exempt under Section 501(c)(3) of the Internal Revenue Code.
However, the availability and amount of any charitable deduction depend upon applicable law and the donor's individual circumstances.
Nothing on www.VFamilyFoundation.com constitutes tax, accounting, financial, or legal advice.
Donors should consult their own professional advisers regarding:

7. DONATION REFUNDS
Charitable donations are generally intended to be final once processed.
The Foundation may, in its discretion and subject to applicable law and payment processor requirements, review requests involving circumstances such as:

The Foundation does not guarantee that a donation will be refunded merely because a refund is requested.
Nothing in this section eliminates any statutory right, payment processor right, chargeback right, or other right that cannot lawfully be waived.
8. EVENT TICKETING
The Foundation currently uses or links to Ticketmaster for event ticketing.
Ticketmaster is an independent third party.
Ticket purchases, ticket transfers, ticket delivery, account requirements, payment processing, cancellation procedures, and other ticketing matters may also be governed by Ticketmaster's own terms and policies.
The Foundation is not responsible for an independent third party's systems, platform availability, technical failures, security, account restrictions, or other acts or omissions except where applicable law provides otherwise.
9. EVENT ADMISSION
Foundation events may be subject to requirements concerning:

Tickets.

Age.
-
Identification.
-
Dress code.
-
Venue policies.
-
Security procedures.
-
Alcohol service.
-
Capacity limitations.

Conduct.
-
Health or safety considerations.
-
Other event specific rules.
For any event advertised as 21 years of age or older, each attendee is responsible for presenting valid identification acceptable to the venue or personnel responsible for admission.
Possession of a ticket does not guarantee admission if an attendee:

Does not satisfy the stated age requirement.

Cannot provide required identification.
-
Violates venue rules.
-
Engages in disruptive, unsafe, abusive, threatening, fraudulent, unlawful, or inappropriate conduct.

Presents a ticket that is invalid, duplicated, revoked, counterfeit, or otherwise unauthorized.

Creates a safety or security concern.
To the extent permitted by applicable law, the Foundation, venue, security personnel, ticketing provider, or authorized event personnel may refuse admission or require an attendee to leave.
10. ALCOHOL AT FOUNDATION EVENTS
Alcohol may be available at certain Foundation events.
Alcohol service is subject to applicable law, venue requirements, licensing requirements, and the policies of the entity legally responsible for serving alcoholic beverages.
No person under the legal drinking age may obtain or consume alcohol at a Foundation event.
Alcohol service may be refused where permitted or required by law.
Attendees are solely responsible for:

Their decisions concerning alcohol consumption.

Their own conduct.

Arranging safe transportation.

Complying with applicable law.

Complying with venue requirements.
Nothing in these Terms is intended to waive or disclaim liability that cannot legally be waived.
11. ATTENDEE CONDUCT
The Foundation seeks to maintain safe and orderly events.
The Foundation or authorized event personnel may take appropriate action regarding conduct involving:

Threats.
-
Harassment.

Intimidation.

Excessive intoxication.

Property damage.
-
Illegal substances.
-
Weapons prohibited by law or venue policy.

Interference with event operations.

Conduct that creates a reasonable safety risk.

Fraudulent ticket activity.

Other unlawful or seriously disruptive behavior.
Such action may include refusal of admission, removal from the premises, notification of venue security, or contact with law enforcement where appropriate.
12. EVENT CHANGES, POSTPONEMENT, OR CANCELLATION
The Foundation may modify an event where reasonably necessary.
Changes may involve:

Time.

Venue.

Entertainment.

Speakers.

Special guests.

Food or beverage service.

Silent auction items.

Event schedule.

Programming.

Vendors.

Other event components.
Events may also be postponed or cancelled because of circumstances including severe weather, public safety concerns, illness, governmental action, venue closure, transportation disruption, force majeure, or other circumstances reasonably beyond the Foundation's control.
Refund rights for ticket purchases may depend upon Ticketmaster terms, venue policies, Foundation policy, applicable law, or the particular circumstances.
Except where applicable law requires otherwise, the Foundation is not responsible for an attendee's separate expenses resulting from an event change, postponement, or cancellation, including:

Transportation.

Airfare.
-
Lodging.
-
Parking.
-
Childcare.
-
Lost wages.
-
Other incidental or consequential expenses.
13. PHOTOGRAPHY, VIDEO, AND RECORDING AT EVENTS
Foundation events may be photographed, filmed, livestreamed, or otherwise recorded.
Photographs, video, audio, or other recordings may be used for legitimate Foundation purposes including:

Instagram and other social media.

Fundraising materials.
-
Promotional materials.
-
Foundation publications.
-
Community outreach.

Historical archives.

Educational materials.

Donor communications.

Media relations.
By entering an area in which Foundation photography or recording is openly occurring, attendees acknowledge that incidental images or recordings may be captured, subject to applicable law.
Where a separate written release or specific consent is legally required or otherwise appropriate, the Foundation may obtain such consent separately.
An attendee with a specific concern regarding photography or recording should notify Foundation personnel when reasonably possible.
For your event, I would also place a visible notice at check in stating that photography and video recording may occur.
14. SILENT AUCTIONS
Foundation events may include silent auctions or similar fundraising activities.
Unless otherwise stated:

Auction items may be donated by third parties.

Descriptions may be based upon information supplied by the donor or provider.

Photographs may be illustrative.
-
Estimated values are estimates and are not guarantees of retail or fair market value.

The Foundation does not independently warrant the condition, authenticity, merchantability, fitness, suitability, performance, or value of every donated item.

Auction items may be subject to restrictions, expiration dates, blackout dates, eligibility limitations, geographic limitations, or other conditions established by the donor or provider.

Winning bids are generally final once accepted, subject to applicable law and any event specific rules.

The Foundation may correct obvious errors or withdraw an item where reasonably necessary.

Bidders are responsible for reviewing any limitations disclosed for an item before bidding.
The Foundation may establish additional auction rules for a particular event.
15. RAFFLES, GAMING, AND SIMILAR ACTIVITIES
Nothing on the website should be interpreted as authorizing a raffle, lottery, casino night, gaming event, or similar activity unless the Foundation has separately determined that the activity complies with applicable law.
Massachusetts has specific rules governing charitable fundraising activities, including raffles and certain gaming events.
Any such activity should be governed by separate official rules and reviewed for legal compliance before being offered.
16. FOOD, ALLERGIES, AND DIETARY CONSIDERATIONS
Food may be served at Foundation events.
Attendees with allergies, dietary restrictions, or medical concerns are responsible for making appropriate inquiries and decisions regarding food consumption.
The Foundation does not guarantee that food or beverages will be free from:

17. PERSONAL PROPERTY
Attendees are responsible for their own personal property at Foundation events.
To the maximum extent permitted by applicable law, the Foundation is not responsible for loss, theft, disappearance, or damage involving personal property unless liability arises from conduct for which responsibility cannot legally be disclaimed.
18. THIRD PARTY VENDORS, VENUES, SPONSORS, AND SERVICE PROVIDERS
Foundation activities may involve independent third parties including:

Entertainment providers.

Photographers.

Security companies.

Sponsors.

Unless expressly stated otherwise, these third parties are independent organizations and are not agents, employees, joint venturers, partners, or legal representatives of V Family Foundation.
The Foundation does not assume responsibility for independent third party acts or omissions beyond responsibility imposed by applicable law.
19. SPONSORS
The appearance of a sponsor's name, logo, products, services, or other identifying information on the website or at an event does not necessarily constitute:

An agency relationship.

A representation that the Foundation controls the sponsor.

The Foundation's name, logo, branding, graphics, written content, photographs, videos, designs, event materials, and other original materials may be protected by copyright, trademark, or other intellectual property rights.
Except as permitted by law, users may not:

21. UNAUTHORIZED FUNDRAISING
No person or organization may represent that they are soliciting donations on behalf of V Family Foundation without authorization from the Foundation where such authorization is required.
The use of the Foundation's name or logo in an unauthorized fundraiser does not make that fundraiser an official Foundation activity.
Massachusetts regulates charitable solicitation and professional fundraising activities.
The Foundation reserves the right to take appropriate action concerning unauthorized use of its identity or unauthorized representation that fundraising is being conducted on its behalf.
22. WEBSITE INFORMATION AND ACCURACY
The Foundation seeks to provide useful and reasonably accurate information.
However, website content may contain:

The Foundation does not provide medical diagnosis, medical treatment, emergency medical services, or individualized healthcare advice through www.VFamilyFoundation.com.
Nothing on the website creates a physician patient, therapist patient, healthcare provider patient, or similar professional relationship.
In an emergency, individuals should contact appropriate emergency services or healthcare professionals.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, V FAMILY FOUNDATION AND ITS DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, AGENTS, REPRESENTATIVES, CONTRACTORS, AND AFFILIATED PERSONS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO USE OF THE WEBSITE OR THIRD PARTY SERVICES.

Attendance at an in person event necessarily involves ordinary risks associated with entering and occupying public or private event spaces.
Such risks may include crowd movement, slips, trips, falls, weather conditions, transportation conditions, food service, and interaction with other attendees.
Attendees are responsible for exercising reasonable care for their own safety.
This provision is not intended to waive claims that Massachusetts law does not permit to be waived.
31. INDEMNIFICATION
To the maximum extent permitted by applicable law, a person who uses the website or participates in Foundation activities agrees to indemnify and hold harmless V Family Foundation and its directors, officers, employees, volunteers, agents, and representatives from third party claims, liabilities, losses, damages, judgments, costs, and reasonable attorneys' fees arising out of that person's:

32. FORCE MAJEURE
To the maximum extent permitted by applicable law, the Foundation shall not be liable for delay, interruption, modification, postponement, cancellation, or inability to perform caused by circumstances reasonably beyond its control.

33. GOVERNING LAW
These Terms and Conditions shall be governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles, except where applicable federal law or another jurisdiction's mandatory law controls.
34. JURISDICTION AND VENUE
To the maximum extent permitted by applicable law, any judicial proceeding arising from or relating to www.VFamilyFoundation.com, these Terms and Conditions, or interactions with the Foundation that is not otherwise governed by a valid dispute resolution agreement shall be brought in a state or federal court of competent jurisdiction located in the Commonwealth of Massachusetts.
Nothing in this section prevents the Foundation from seeking emergency, injunctive, equitable, or protective relief in another court where legally appropriate.
35. DISPUTE RESOLUTION AND GOOD FAITH NOTICE
Before commencing litigation concerning a dispute arising primarily from use of www.VFamilyFoundation.com, a party is encouraged, where reasonably practicable, to provide written notice describing the dispute and allow a reasonable opportunity for informal resolution.

Nothing in this section shortens a legally applicable limitations period or prevents a party from seeking emergency relief where necessary.
IMPORTANT ON ARBITRATION
I am intentionally not putting a mandatory arbitration and class action waiver into the copy and paste version without your attorney approving it.
That is not because those provisions are necessarily bad. They can be powerful.
The problem is implementation.
A mandatory arbitration clause buried in footer Terms that users never affirmatively accept can create an enforceability fight before anyone even reaches the merits of the underlying dispute.
If your attorney wants arbitration, I would have the attorney approve:

37. SEVERABILITY
If a provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be limited or interpreted to the minimum extent necessary to make it enforceable where permitted by law.
If the provision cannot be made enforceable, it shall be severed.
The remaining provisions shall continue in effect to the maximum extent permitted by applicable law.
38. NO WAIVER
Failure by the Foundation to enforce any provision on one occasion does not constitute a waiver of:

39. NO THIRD PARTY BENEFICIARIES

Use of the website, donation to the Foundation, attendance at an event, sponsorship, volunteering, or another interaction with the Foundation does not by itself create:

41. ELECTRONIC COMMUNICATIONS

42. RESERVATION OF RIGHTS AND DEFENSES
Nothing contained in these Terms and Conditions shall be interpreted as:

A waiver of nonprofit protections.

A waiver of immunity where applicable.

A waiver of requirements to prove damages.

A voluntary assumption of duties beyond those imposed by applicable law.

An agreement that any law applies where it otherwise would not.

A waiver of any right, protection, exemption, defense, or remedy otherwise available to V Family Foundation.
The Foundation expressly reserves all rights, defenses, privileges, immunities, exemptions, limitations, and remedies available under applicable law.
43. PRIVACY POLICY
Use of www.VFamilyFoundation.com is also subject to the Foundation's Privacy Policy.
The Privacy Policy is incorporated into these Terms by reference to the extent appropriate and legally enforceable.
If there is a conflict between these Terms and a separate transaction specific agreement, ticketing agreement, event rule, donor agreement, or legally binding written agreement, the more specific agreement may control with respect to its subject matter.
44. CHANGES TO THESE TERMS
The Foundation may revise these Terms and Conditions periodically.
The “Last Updated” date will identify the most recent revision.
Where applicable law requires additional notice or affirmative agreement to a material change, the Foundation will comply with those requirements.
The Foundation may retain previous versions for legal, administrative, insurance, regulatory, or evidentiary purposes.
45. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and any applicable event specific rules, ticketing terms, donation agreements, written restrictions, releases, or other agreements, constitute the applicable terms governing the subject matter addressed by those documents.
